Dear Madams, dear Sir, First of all I would like to thank you for your time and the discussions we had regarding the lawyer job within the Cocix Group.

It really helped me to appreciate your needs for this position and made me understand that it exactly fits what I am looking for.

Firstly it was important for me to understand the history of the group, and how it was set up in 2004 by Mr. Johnson and how the different acquisitions of companies (along with the development of your expertise/know-how ) helped the company to become a serious player in the global fine chemistry.

Cocix is a manufacturer of fine chemicals (notably active pharmaceutical ingredients) and has the biggest market leaders as well as the merging players as clients.

As you all explained to me, the company activites are very reglemented and that is why the Legal Counsel you will hire will need to fully understand them.

In this regard, Mrs. Kelly told me that site visits are more than essential and that is something that you have put in place.

Even though I cannot compare my current activity to Cocix’s, I also find crurcial to visit solar parcs in order to work in an effecient way with my colleagues.

The principle and dominant responsability of the Legal Counsel will be the negociation of International contracts in order to support the strong growth of the company.

Brandon insisted on the fact they see the position as a Legal Counsel who give practical legal advice in the field, a « juriste de terrain » as we said.

It will be of utmost importance to participate in contractual negociations with the operational staff and meet the clients.

The balance of power is usually not in Cocix’s favour, hence the importance of meeting the clients in order to upset this institutional balance.

I understand you may have been in the past (and still sometimes today) in a fixed shceme in which the operational is making projects approach, and the lawyer is only drafting the contracts.

In order to deliver successful projects, the operational staff must also be interested in his contracts and it is up to the Legal Counsel to make him understand that.

As you have seen in my resumé, I had a focus in company law during my carreer as from today.

However and as mentioned during our discussions, I always made sure to have other functions such as international contracts drafting, so that to always be in the heart of the activity of the companies I have worked for.

For the avoidance of any doubts, I would like to take the opportunity to reiaterate that my goal is clearly today to work mainly in (international) contract law to continue to develop my expertise in this field, especially in the industrial sector.

I have also learnt during these interviews your desire to continue to structure the Legal Department so that what has been spontaneously done becomes usual (management of clause lists, archival storage, etc..).

Finally, I would like to raise three other points that have been interesting to hear/ or to discuss with you : - The importance to continue to develop a real culture of intellectual property among researchers, who are often not very familiar with such realities.

- I particularly appreciated your descriptions of your acqusitions process (Acquisitions of companies in difficutly or in bankruptcy but with high growth potential) and how important is for you to keep the management in place.

I recognize myself in this human and professional vision of managing acquisitions to build a group identity.

- You outlined that Pharmaceutical division is currently doing very well , but the current figures will not last forever.

I understand that there is a return to the European subcontractors today, but that many emerging countries are catching up.

The position you are proposing fits perfectly with my professional expectations.

Indeed, I conceive the profession of Legal Counsel as you described it to me: one of the main players in the negotiation of a contract, and which does not only just deal with the drafing part of contracts.

This position requires the use of both sound legal and business judgment.

A Legal Counsel in business law also needs to be a generalist, and to be able to approach any type of subject, especially in a human-sized society.
